1. Acceptance of Terms

Welcome to Verdict IDE. These Terms of Service ("Terms") govern your access to and use of the Verdict IDE application, website (verdictide.com), and related services (collectively, the "Service") provided by Verdict IDE ("we," "our," or "us").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Description of Service

Verdict IDE is an AI-powered integrated development environment that provides:

  • AI-assisted code completion and suggestions
  • AI chat assistant for coding help
  • Code refactoring and analysis tools
  • Integration with local and cloud AI models
  • Project management features

The Service is available in multiple tiers including Free, Personal, Pro, and Enterprise plans with varying features and capabilities.

3. Account Registration

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or harmful activities.

4. Subscription and Payment

4.1 Pricing and Plans

We offer various subscription plans with different features and pricing. Current pricing is available on our website. We reserve the right to modify pricing with reasonable notice.

4.2 Billing

  • Paid subscriptions are billed in advance on a monthly or annual basis
  • Payment is processed through Stripe, our third-party payment processor
  • You authorize us to charge your payment method for all fees incurred

4.3 Cancellation and Refunds

  • You may cancel your subscription at any time through your account settings
  • Cancellation takes effect at the end of your current billing period
  • We do not provide refunds for partial billing periods unless required by law
  • We may offer refunds at our discretion for exceptional circumstances

4.4 Free Trial

We may offer free trials of paid features. At the end of the trial period, you will be automatically charged unless you cancel before the trial ends.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or disassemble the Service

6. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Verdict IDE and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our permission.

6.2 Your Content

You retain all rights to your code, projects, and other content you create or upload to the Service ("Your Content"). By using the Service, you grant us a limited license to process Your Content solely to provide the Service to you.

We do not claim ownership of Your Content, and we do not use Your Content to train AI models.

6.3 AI-Generated Content

Code and content generated by AI features of the Service is provided to you for your use. You are responsible for reviewing, testing, and validating any AI-generated content before use in your projects.

7. Third-Party Services

The Service integrates with third-party services including:

  • AI Providers: OpenAI, Anthropic, Google for cloud AI features
  • Authentication: Google, GitHub for sign-in
  • Payment: Stripe for payment processing

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party services.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • The results from using the Service will be accurate or reliable
  • AI-generated suggestions or code will be correct, complete, or suitable for your needs
  • Any errors will be corrected

You are solely responsible for evaluating and testing any code or suggestions provided by the AI features before use in your projects.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VERDICT IDE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content
  • Errors, bugs, or inaccuracies in AI-generated content

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Verdict IDE and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Content or its use in your projects

11. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

12. Changes to Terms

We may revise these Terms from time to time. The most current version will always be on this page. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised Terms.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

  • Your right to use the Service will immediately cease
  • You may request a copy of your data within 30 days
  • We may delete your data after 30 days
  • Provisions that by their nature should survive termination shall survive

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

15. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Verdict IDE regarding the Service.
  • Waiver: Our failure to enforce any right or provision shall not be deemed a waiver of such right or provision.
  • Severability: If any provision is found invalid or unenforceable, the remaining provisions shall remain in effect.
  • Assignment: You may not assign your rights under these Terms without our prior written consent.
